The terms that govern access to and use of the SOF Suite platform.

Acceptance of terms
By accessing or using SOF Suite, you agree to these Terms. If you use the service on behalf of a firm, you represent that you are authorized to bind that firm to these Terms.
The service
SOF Suite is software that helps immigration counsel prepare EB-5 source-of-funds materials — client intake, document classification, declaration drafting, exhibit lists, binders, and filing packets.
Not legal advice
SOF Suite is a software tool, not a law firm, and does not provide legal advice. Using the service does not create an attorney-client relationship with SOF Suite.
All AI-assisted output is a draft that must be reviewed and approved by a qualified attorney. The reviewing attorney remains solely responsible for the accuracy, completeness, and filing of any materials produced with the platform.
Accounts
You are responsible for keeping your credentials secure and for all activity under your account. Provide accurate account information and keep it current.
Acceptable use
You agree not to:
- use the service for any unlawful purpose;
- upload data you do not have the right to process;
- attempt to breach security, access another organization’s data, reverse engineer, or disrupt the platform.
Customer data & confidentiality
As between you and us, your firm owns its case data. You grant SOF Suite a limited license to process that data solely to provide the service, and we treat it as confidential. Our handling of personal information is described in our Privacy Policy.
Intellectual property
SOF Suite and its software, design, and content are our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the service; they do not transfer any ownership in the platform to you.
Disclaimers
The service is provided “as is” and “as available.” We do not warrant that it will be uninterrupted or error-free, and we do not guarantee any particular immigration outcome or government decision. Adjudication of any petition rests solely with the relevant authorities.
Limitation of liability
To the maximum extent permitted by law, SOF Suite is not liable for indirect, incidental, or consequential damages, and our total liability arising out of the service is limited to the fees paid for it in the twelve months before the claim.
Term & termination
Either party may terminate use of the service as described in the applicable agreement. On termination, we will make your data available for export and then delete it in line with our retention practices.
Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Changes to these terms
We may update these Terms from time to time. We will notify firms of material changes, and continued use of the service after an update means you accept the revised Terms.
